1. Acceptance of terms
These Terms & Conditions ("Terms") form a binding agreement between you and Konnexion AI ("Konnexion", "we", "us") governing your use of our website and platform (the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorised to bind that business.
These Terms are an electronic record and do not require a physical signature.
2. Definitions
- Merchant — a business that subscribes to and uses the platform.
- User — anyone who accesses the Service, including Merchants, their team members, and end-customers who message a Merchant.
- Platform partners — Meta (WhatsApp Business Platform) and Shopify, whose services you connect.
3. The service & your responsibilities
Konnexion is a Meta Tech Provider. We provide software that connects your own WhatsApp Business Account and Shopify store and runs an AI commerce agent. You are responsible for:
- providing accurate account information and keeping your credentials secure;
- your use of WhatsApp, which must comply with Meta's WhatsApp Business Policy and Commerce Policy;
- the content you send, and obtaining any consents required to message your customers;
- the accuracy of your catalog, pricing, policies and fulfilment;
- complying with all laws applicable to your business.
4. Platform partner terms
Your use of WhatsApp messaging is billed to you by Meta directly and is subject to Meta's terms. Your Shopify integration is subject to Shopify's terms. Any AI model you connect is subject to that provider's terms and billing. We are not responsible for the availability, pricing or policies of these third parties, which may change independently of us.
5. Fees & billing
We charge a flat software subscription for the platform. As a Tech Provider, we do not mark up your WhatsApp messages — messaging is billed to you by Meta at Meta's rates. AI usage is billed by your chosen model provider. Subscription fees, billing cycle and any applicable taxes are described at sign-up or in your order. Refund eligibility is described in our Refund Policy.
6. Acceptable use
You agree not to use the Service to: send spam or unlawful messages; infringe intellectual property or privacy rights; transmit malware; attempt to breach security or access another tenant's data; resell the Service without authorisation; or violate any applicable law or platform-partner policy. We may suspend or terminate accounts that breach these Terms.
7. Intellectual property
The Service, including its software, design, logos and content, is owned by Konnexion or its licensors and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own data, content and connected accounts.
8. Data & privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. You are the controller of your end-customers' data; we process it on your behalf to operate the Service.
9. Disclaimers & limitation of liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect, incidental or consequential damages, or for loss of profits, data or goodwill. Our total liability arising from the Service is limited to the fees you paid us in the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold Konnexion harmless from claims arising out of your use of the Service, your content, or your breach of these Terms or of any platform-partner policy.
11. Termination
You may cancel your subscription at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law or a platform partner. On termination, your right to use the Service ends; data handling follows our Privacy Policy.
12. Changes to the terms
We may modify these Terms from time to time. Material changes will be reflected by an updated "Last updated" date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.
13. Governing law & disputes
These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rights, the courts at New Delhi, India shall have exclusive jurisdiction over disputes arising from these Terms, unless otherwise agreed in a separate written agreement between you and Konnexion.
